Business Setup Consultants in Dubai Address Common Company Formation Challenges

Business setup consultants in Dubai helping with company formation

Business setup consultants in Dubai help you avoid the delays that slow down new companies. Company Setup Consultants Dubai, backed by Bestax Chartered Accountants, reports more than 3,000 companies set up across the UAE.

Getting the license is usually the easy part. Delays come from the steps around it: foreign documents, visas, the bank account and tax registration.

Here is what to prepare for if you plan to open a company in Dubai.

What business setup consultants in Dubai fix before the license

The first problems start before you file anything. Each one adds weeks if you find it late.

Get your foreign documents attested

The UAE is not part of the Apostille Convention. If a company or a corporate shareholder from abroad owns your Dubai business, its documents often need notarization, legalization and UAE attestation.

The exact steps depend on the country that issued the documents and the authority that receives them. A common sequence looks like this:

  1. A notary or official body in the home country certifies the document.
  2. The home country’s foreign ministry certifies that signature.
  3. The UAE embassy or consulate in that country attests it.
  4. The UAE Ministry of Foreign Affairs gives the final attestation.

Translation rules also vary. The UAE Ministry of Foreign Affairs accepts documents in Arabic or English, but your licensing authority can ask for more. Confirm the full sequence before you pay for translations.

Choose a trade name that passes the first time

Your trade name has to follow the naming rules of the Department of Economy and Tourism or your free zone. Names that use religious terms, the names of official bodies or another company’s brand are commonly rejected.

The name also has to suit your licensed activity. A rejected name sends you back to the start of the approval step. Prepare two or three options before you apply.

Plan your visas around your hiring

Your company needs an immigration establishment file before it can sponsor staff. Each person then goes through their own visa and Emirates ID process. Applicants aged 18 or above generally need a medical fitness test.

Confirm your approved employee quota before you choose your office. Free zones set their own visa allocations by package, so compare them against your hiring plan, not just the license price.

What business setup consultants in Dubai handle after the license

The license starts a second list of tasks. Several now come with fixed deadlines and fines.

Open the bank account

Banks review your shareholders, your business plan and your source of funds before they open an account. A gap in any of the three slows the review.

Prepare a short business plan, proof of where your capital comes from and your expected first-year turnover. If you hold the Dubai Unified Licence, share it with your bank. The Department of Economy and Tourism has connected the licence with participating banks to speed up checks. Approval and timing still stay with the bank.

Register for corporate tax and VAT on time

New UAE resident companies subject to corporate tax generally must apply for registration within three months of incorporation. Late registration can lead to an AED 10,000 penalty.

The Federal Tax Authority can waive that penalty if you meet its conditions. One condition is filing your first tax return within seven months of the end of your first tax period.

VAT registration is generally required for UAE-resident businesses when taxable supplies and imports pass AED 375,000 over the past 12 months. You also have to register if you expect to pass that amount in the next 30 days. Different rules apply to non-resident businesses. Registration and filing run through the Federal Tax Authority.

Check whether Small Business Relief applies to you

Ministerial Decision No. 131 of 2026 extends Small Business Relief to tax periods ending on or before December 31, 2029. You can elect the relief if you are an eligible UAE resident person and your revenue stays at or below AED 3 million in the current period and every earlier tax period.

The relief treats you as having no taxable income for that period. You still have to register, file a return and keep records. Qualifying free zone persons and members of multinational groups with consolidated revenue above AED 3.15 billion cannot claim it.

Prepare for e-invoicing

The UAE is moving to mandatory electronic invoicing under Ministerial Decisions No. 243 and 244 of 2025, as amended. For businesses within the mandatory scope, your deadlines depend on your revenue:

Annual revenueAppoint an accredited service provider byE-invoicing becomes mandatory
AED 50 million or moreOctober 30, 2026January 1, 2027
Below AED 50 millionMarch 31, 2027July 1, 2027

If your revenue is AED 50 million or more, your provider deadline is only days away. Act now if you have not appointed one.

The Ministry of Finance changed the rules again on October 19, 2026. The update adds a temporary exclusion for transactions within the same tax group and changes the data storage rules. If you set up now, choose accounting software that can connect to an accredited provider.

Keep your ownership records current

Companies within the scope of Cabinet Decision No. 109 of 2023 must keep registers of their beneficial owners, shareholders and nominee directors. A beneficial owner is generally anyone who owns or controls 25% or more, or controls the company in other ways.

You generally have 15 days to update the registers after a change. Cabinet Decision No. 132 of 2023 sets the penalties, which reach AED 100,000 for certain or repeated breaches.

How business setup consultants in Dubai run your setup

The team plans every step before the first filing, so the documents, visas, bank file and tax registrations line up. Each setup runs in five stages:

  1. The team reviews your activities, shareholders and hiring plans, then lists every document you need and how to attest it.
  2. The team checks your trade name options and secures initial approval.
  3. The team files your license application and sets up your office and establishment card to match your visa needs.
  4. The team prepares your bank file and registers your company for corporate tax within the three-month deadline.
  5. The team keeps your VAT, ownership registers and license renewals on schedule, and plans your e-invoicing setup.

The firm estimates about 48 hours for a free zone registration once your documents are complete. A mainland setup with approvals and visas usually takes two to four weeks. Both estimates depend on approvals.

“The license is rarely what holds a founder back,” said Haseeb Hamdani, FCCA, UAE-CA, of Bestax Chartered Accountants. “Delays come from an unattested document, a rejected name or a missed tax deadline. We map those steps before you apply, so you open on time and stay compliant.”
